Davis | Miles, PLLC, is a full-service law firm located in Arizona's Phoenix Metropolitan area, with offices in Mesa and Tucson, Arizona and in Albuquerque, New Mexico. We have approximately 60 lawyers and practice in most areas generally affecting businesses and their owners. But there are certain things we do that very few law firms do and we have a unique perspective on the practice of law.

For example, we are not only lawyers, but businessmen. Charlie Davis, the Managing Partner of the firm, has built several successful businesses, including Law.com and Scrapbook.com. He and Greg Miles have taken the firm from 5 lawyers and 20 employees, to nearly 60 lawyers and 130 employees - in four years...and the firm is still growing. We know not only the legal side of business, but how it integrates in ways that add value to a business.

For over 30 years, Charlie has represented businesses of all size on planning strategies. In the '80s, when very few lawyers even knew about asset protection, Charlie was successfully working with business and real estate clients, utilizing creative business structures to protect clients' assets and force reasonable settlements from aggressive and unreasonable creditors and plaintiffs.

Charlie Davis, Tim Ronan, Kevin Wick and others in the firm have:

    • Advised hundreds of business clients on all manner of legal and business issues;
    • Represented numerous clients on mergers and acquisitions;
    • Acted as part-time general counsel for corporations;
    • Advised clients on complex business, tax and asset-protection strategies;
    • Negotiated complex joint ventures, innovative partnership and limited liability structures;
    • Assisted clients on protecting intellectual property;
    • Worked closely with CFOs and other financial professionals in structuring favorable business workouts, growth structures and banking relationships;
    • Assisted numerous businesses in structuring themselves properly for improved opportunities to raise business capital;
    • Assisted in the formation of captive insurance companies for clients
    • Helped structure innovative buy-sell agreements as well as both friendly and adverse buy-outs of partners.
    • Negotiated settlements in multi-million-dollar cases where litigation seemed the only alternative.
    • Helped hundreds of businesses and business owners structure their businesses and estates to avoid marauding creditors and business predators.

BLUEPRINT SERVICES

Our services include our unique analysis and BluePrint process for business clients. This service includes a review of our proprietary questionnaire and pertinent legal documents along with interviews with key company personnel to ascertain weaknesses in the business structure (for business liability purposes), insurance coverage and, where appropriate, ownership structures (for personal liability structure). As noted below, many businesses and their owners are not fully aware of the potential problems that can damage or destroy their businesses and the simple things they can do to add new layers of protection. After our analysis we issue a detailed report with a paint-by-the-numbers plan, so the businesses (and owners' families) can take appropriate steps to protect the value of the business, its operations and intellectual properties from marauders, overly aggressive creditors, death of key partners or employees, divorce of owners and family members and other potential issues.

Here are facts all businesses and business owners should know when considering whether our BluePrint Service would be of benefit:

  1. The tort-liability price tag for small businesses (those with less than $10 million in revenues and at least one employee) was $98 billion. For 2009 the estimate is over $120 billion
  2. Small businesses bear about 70% of the tort liability costs, but take in only 19% of the business revenues.
  3. It's estimated that small businesses will pay over $25 billion of their tort costs out of pocket this year.
  4. Very small business, those with less than $1 million in revenues, will pay over $35 billion in tort liability costs, but will take in only 6% of business revenues

Of special note, our BluePrint fees are refundable, if our clients are unsatisfied with the service! If we don't meet the client's expectation with the BluePrint service the client will set the fee to what it believes is a reasonable value.

PART-TIME GENERAL COUNSEL SERVICES

For some businesses that do not need a full-time General Counsel, we will provide part-time General Counsel services, regardless of where you are located, for far less than the cost of employing an experienced full-time General Counsel. You only use us when you need us, you don't have to pay benefits and you have the advantage of an entire firm with experience in numerous areas of the law.

NATIONAL NETWORK OF ATTORNEYS

Another unique advantage we offer is that Davis Miles is closely affiliated with law firms in every State and Canada. These are firms that we have working relationships with continually, on a number of issues. If we can't help, we'll help you find someone who can.

STATE AND LOCAL SALES TAX ISSUES

We also work closely with State Tax Advisors, another Service Provider for B2B CFOs, to assist in structuring our clients' businesses to minimize sales and use tax payments and recoup payments made in error. With cities, counties and states running up record deficits, they are looking to businesses to replenish the coffers. Let us help you to avoid paying more than your share. Our attorneys in the State and Local tax area have recovered (and (protected clients form paying) millions of dollars in State and local real estate, sales and transaction privilege taxes.

SPECIAL CONSIDERATION FOR B2B CFO CLIENTS

For our friends at B2B CFO, we allow them to call us either with their clients on the line, or with the permission of their clients, any time, free of charge, to discuss, in general terms, legal issues and questions they have.

OUR FEES

We believe that our value is in helping businesses and the people who own and run them not only at prices that we believe are reasonable, but with fee structures our clients believe are reasonable.
