Dave is a financial executive with 20 years of Chief Financial Officer (CFO) experience, serving as a member of senior management by providing counsel to the Senior Management Group and Boards of Directors regarding financial and operational matters, mergers and acquisitions, financing alternatives, business development, and financially troubled situations.

Dave is a CPA with over 30 years of corporate and consulting experience. Dave began his career in public accounting at a Big Four Public Accounting Firm at what is now known as KPMG LLP ("KPMG"). As a member of KPMG's audit practice, he managed various audit engagements, including entities engaged in the banking, distribution, insurance, manufacturing, and not-for-profit industries.

After leaving KPMG, Dave was the CFO of a number of organizations and, later in his career, returned to the public accounting sector in a consulting role at PricewaterhouseCoopers LLP (PwC). While at PwC, Dave was one of two individuals that started a regulatory consulting practice. Dave participated in various litigation support engagements, managed numerous diverse consulting engagements, and assisted a troubled enterprise develop and implement a restructuring plan.

While managing all aspects of the accounting, technology, and treasury functions, the following lists some of Dave's CFO's accomplishments:

• Identified and negotiated a successful acquisition
• Structured and negotiated bank financing, reducing interest rate risk and interest expense
• Directed the development of the organization's strategic plan
• Structured method for deferring significant income tax payments
• Lead the organization's negotiation team, resulting in a successful sale
• Prior to its sale, identified Dave as the likely candidate to succeed the retiring President
• Directed an organization's efforts in resolving its financial concern and managed the sale and transfer of its business.
• Served as President of the mutual fund administrator
• After assuming the CFO's position, Dave identified and addressed a severe cash flow crisis at a subsidiary level
• Served as the risk manager
• Managed the merger of a majority owned subsidiary, including obtaining a private letter ruling from the IRS classifying the transaction as a tax free exchange and obtaining a fairness opinion regarding the stock exchange ratio and, in conjunction with this merger, coordinated with investment bankers issuing $25 million of Trust Preferred Securities
• Negotiated the termination of the organization's existing lease and a new lease, which significantly reduced the organization's rent expense.
• Evaluated draft affiliation agreements already in place when he joined and identified and discussed structures, rights and obligations, and matters needing further clarification and negotiation, leading to terminating the affiliation discussions.
• Negotiated the construction and permanent financing related to an entity's new office facility
• Managed all aspects of the regulatory, rating agencies, investment consultants and managers relationships

Dave also formed his own consulting company, providing consulting services to a property and casualty group, primarily related to forming a new entity, capital restructuring and financing alternatives and accounting and consulting services to an internet startup that markets and distributes vitamins and supplements.

Dave earned a Masters of Management, from the J.L. Kellogg Graduate School of Management, Northwestern University, Evanston, Illinois and Bachelor of Science, Accounting, from Saint Joseph's College, Rensselaer, Indiana. While a student at Saint Joseph's College, he was a member of intercollegiate baseball team. Dave is a member of the National Association of Corporate Directors and a Board of Director of an insurance company.

A native of Illinois, Dave and his wife Carol, live in the Chicago suburbs and have a daughter who is a college freshman and are active in their church and community. Dave volunteers as a member of the finance committee of his daughter's high school and a trustee of their community's youth baseball and softball organization. Dave managed his daughter's travel softball team for the last nine years. In his spare time, Dave enjoys golf, traveling, reading and spectator sports.
